Proposal Agreement

Terms & Conditions

These terms accompany every BrushBoss proposal. They are referenced on your proposal PDF and form part of the agreement when you accept your quote.

Scope & Changes

Work is limited to the scope described on Page 2. Any changes require a written change order with agreed price adjustment before work begins.

Payment

Deposit is due upon signing. Balance is due on the day of completion before crew leaves the site. Late payments accrue interest at 1.5% per month.

Payment Methods & Bank Discount

Prices shown are the standard price, payable by credit or debit card with no surcharge. A 2.5% discount applies to payments made by bank transfer (ACH), cash, or check. The deposit and the final balance may each be paid by any of these methods.

Scheduling

Work will be scheduled within 2–4 weeks of deposit receipt. Exact date confirmed 48 hours in advance. Weather delays do not constitute breach of contract.

Warranty

90-day workmanship warranty from date of completion. Covers defects in mulching quality and completeness. Does not cover: regrowth from existing root systems, acts of nature, customer modifications, or areas not included in the work scope.

Existing Conditions

Contractor is not responsible for underground utilities, septic systems, irrigation lines, or hidden conditions below the surface. Customer is responsible for calling 811 to mark utilities before work begins.

Liability

Contractor carries general liability insurance. Total liability is limited to the contract value. Contractor is not liable for pre-existing damage, landscaping damage from necessary equipment access, or conditions outside the work area.

Force Majeure

Neither party is liable for delays caused by weather, natural disaster, pandemic, supply chain disruption, or government action.

Cancellation

Customer may cancel within 3 business days of signing for a full refund of any deposit paid. After 3 business days, the deposit is non-refundable. Contractor may cancel with full deposit refund if site conditions make work unsafe or impractical.

Dispute Resolution

Disputes shall be resolved first by direct negotiation (30-day window). If unresolved, binding arbitration under AAA Construction Industry Arbitration Rules. For claims under $10,000, a single arbitrator on documents only. Each party bears its own costs. Either party may pursue claims in small claims court.

Lien Waiver

Contractor provides a full lien waiver upon receipt of final payment.

Indemnification

Each party indemnifies the other against claims arising from their own negligence or willful misconduct.
